Terms of Service

1. Acceptance of Terms

By accessing or using any Elymica portal (including student.elymica.com, teacher.elymica.com, publishers.elymica.com, marketplace.elymica.com, admin portals, and any institution-specific subdomain), you agree to be bound by these Terms of Service and our Privacy Policy.

If you are accessing the platform on behalf of an institution, school, or organisation, you confirm that you have authority to bind that entity to these terms. If you do not agree, you must not use the platform.

Elymica reserves the right to modify these terms at any time. Material changes will be communicated via email or in-platform notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised terms.

2. Account Registration

Schools and Institutions

Institutional accounts are provisioned by Elymica following a registration and verification process. The institution’s designated administrator is responsible for managing user access, roles, and compliance with these terms within their tenant. Institutions are accountable for the actions of all users they onboard.

Publishers

Publishers applying to distribute content through Elymica must complete our publisher onboarding process and agree to the Publisher Agreement. Publishers are responsible for ensuring their content does not infringe third-party intellectual property rights and complies with applicable laws and curriculum standards.

Individual Learners

Individual learners may register directly on the marketplace. Users under the age of 18 must have consent from a parent or guardian. By registering, you confirm that all information provided is accurate and complete.

Account Security

You are responsible for maintaining the confidentiality of your credentials. You must notify us immediately at [email protected] if you suspect unauthorised access to your account. Elymica is not liable for losses arising from failure to maintain account security.

3. Permitted Use

The platform is licensed to you for lawful, personal or institutional educational use. You may:

• Access and complete courses and learning materials you are enrolled in.
• Download resources made explicitly available for offline use by the publisher.
• Share your earned certificates via the public verification URL.
• Manage your institution, staff, and learners if you hold an admin or institutional role.
• Publish and distribute content if you are an approved publisher.

4. Prohibited Conduct

You must not:

• Copy, redistribute, resell, or sublicense platform content without express written permission.
• Attempt to circumvent authentication, access controls, or tenant isolation mechanisms.
• Use automated tools, bots, or scrapers against the platform without written authorisation.
• Upload, share, or distribute content that is unlawful, defamatory, abusive, or infringes third-party rights.
• Impersonate another user, institution, or Elymica staff.
• Interfere with or disrupt the platform, servers, or networks connected to the platform.
• Use the platform for any commercial purpose outside of the permitted publisher or institutional model.
• Share your login credentials with others or allow shared account access.

Violation of these prohibitions may result in immediate suspension or permanent termination of your account at Elymica’s sole discretion.

5. Content Ownership

Publisher Content

Publishers retain ownership of all content they upload to the platform. By publishing content through Elymica, publishers grant Elymica a non-exclusive, royalty-free licence to host, display, distribute, and deliver that content to enrolled learners for the duration of the publishing relationship. Publishers may withdraw content from future distribution at any time; content already purchased by learners remains accessible under the original terms.

User-Generated Content

Users may submit content in discussion forums, assignment responses, and other interactive features. You retain ownership of this content. By submitting it, you grant Elymica and other users within your platform context a licence to view and interact with it as necessary for platform operation. Elymica does not claim ownership of user-generated content and will not use it for commercial purposes outside of the platform.

Elymica Platform

The Elymica platform, including its software, design, branding, and documentation, is the intellectual property of Elymica Limited. Nothing in these terms transfers any ownership of platform IP to you.

6. Payments and Subscriptions

Payment Rails

Payments are processed by Paystack and Pesapal for African users, and Stripe for non-African users. All payments are subject to the terms of those providers. By completing a payment, you agree to those providers’ terms in addition to ours.

Subscriptions

Subscription plans are billed on a recurring basis (monthly or annual) as specified at the point of purchase. Subscriptions renew automatically unless cancelled before the renewal date. Cancellation ends access at the conclusion of the current billing period. No partial-period refunds are issued except where required by applicable law.

Institutional Billing

Schools and publishers on institutional plans may be invoiced on agreed terms. Payment terms, refund eligibility, and volume pricing are governed by the separate institutional agreement signed at onboarding.

Price Changes

Elymica may change subscription pricing at any time. Existing subscribers will receive at least 30 days’ notice before a price change affects their renewal. Continued subscription after the effective date constitutes acceptance of the new pricing.

7. Intellectual Property

All trademarks, logos, platform names, and design elements associated with Elymica are the property of Elymica Limited. You may not use our branding without prior written consent. Any feedback, suggestions, or ideas you provide to Elymica may be used by us without restriction or compensation.

8. Termination

You may close your account at any time by contacting us at [email protected]. Elymica may suspend or terminate your account immediately and without notice if you violate these terms, engage in fraudulent activity, or pose a security risk to the platform or other users.

On termination, your access to the platform ceases. Content you own as a publisher will be removed from distribution. Your personal data will be handled in accordance with our Privacy Policy.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Elymica is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform — including but not limited to loss of data, revenue, or learning outcomes.

Our aggregate liability to you for any claim arising from these terms shall not exceed the amount you paid to Elymica in the 12 months preceding the claim. Where no payment was made, our aggregate liability shall not exceed USD 100.

The platform is provided “as is.” Elymica makes no warranty that the platform will be uninterrupted, error-free, or free from harmful components. We maintain a public status page at elymica.com/status.

10. Governing Law

These terms are governed by the laws of Kenya. Any dispute arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless Elymica elects otherwise in writing.

Nothing in this clause prevents Elymica from seeking urgent injunctive relief in any jurisdiction where necessary to protect its intellectual property or prevent platform abuse.
